These Terms of Use ("Terms") constitute a legally binding agreement between you ("you", or "your") and RSquareSoft Technologies India Private Limited ("Company," "we," "us," or "our"), governing your access to and use of the Kaarmika website, mobile application, and related services (collectively, the "Kaarmika Platform").
By accessing, registering for, or using the Kaarmika Platform, you agree to be bound by these Terms, our Privacy Policy, and any additional rules, guidelines, or policies that may be posted or communicated by Company from time to time in connection with Kaarmika Platform. If you do not agree to these Terms, you must not use the Kaarmika Platform.
Company reserves the right to modify these Terms, the Privacy Policy, and any related rules or policies at any time. Any changes will be effective upon posting on the Kaarmika Platform and continued use of the Kaarmika Platform after such changes constitutes your acceptance of the revised Terms.
Company acts solely as a digital intermediary to bridge the gap between daily workers and contractors by enabling job discovery, engagement, and communication. Company does not employ Workers, guarantee job placements, or assume responsibility for the conduct of either party.
By using the Kaarmika Platform, you certify that:

(C) You authorize Company to facilitate the transfer of payments for services requested and accepted through the Kaarmika Platform, subject to applicable terms.
The Kaarmika Platform is open only to persons above the age of 18 years. The Kaarmika Platform is open only to persons currently residing in India. Persons who wish to participate must have a valid email address and/or mobile phone number. Company may on receipt of information bar a person from accessing their Company account if such person is found to be in violation of any part of these Terms. Only those users who have successfully registered on the Kaarmika Platform shall be eligible to post view and/or apply for jobs via the Kaarmika Platform.
You are hereby granted a limited, non-exclusive, revocable and non-transferable license to utilise and access the Kaarmika Platform pursuant to the requirements and restrictions of these Terms.
You shall have no rights to the proprietary software and related documentation, if any, provided to you in order to access the Kaarmika Platform. Except as provided in the Terms, you shall have no right to directly or indirectly, own, use, loan, sell, rent, lease, license, sublicense, assign, copy, translate, modify, adapt, improve, or create any new or derivative works from, or display, distribute, perform, or in any way exploit the Kaarmika Platform, or any of its contents (including software) in whole or in part.

Users of the Kaarmika Platform must adhere to these Terms, including all rules, regulations, and applicable laws. Any violation may result in actions such as account suspension, restriction of access, or permanent deletion of user data. Upon account deactivation, any unused balance may be refunded to the user's registered bank account, subject to applicable processing fees.
Users are responsible for safeguarding their login credentials and must promptly report any unauthorized access or security breaches. Activities such as operating multiple accounts, using third-party automation tools, reverse engineering platform software, or modifying system files without written consent are strictly prohibited.
Users must not engage in any form of cyberattack, data mining, impersonation, or actions that disrupt platform services or infringe on other users' rights. Additionally, users are forbidden from transmitting obscene, defamatory, unlawful, or misleading content; promoting unauthorized commercial services; or engaging in activities that threaten national security, public order, or India's sovereignty.
Company reserves the right to moderate usernames and content that may be offensive, misleading, or infringe on intellectual property. Unauthorized access or use of automated tools without prior approval is considered a breach of these terms and may lead to legal consequences.
When accessing and interacting with the Kaarmika Platform a Worker will be able to view and apply for jobs posted by contractor.
While Company does not tolerate or allow for discrimination on the basis of gender, certain jobs might be gender specific and might be available only to persons of a certain gender. The User understands and acknowledges that such stipulations as to gender specifications for a certain job are not mandated by Company and that such stipulation is made by the job poster.
By agreeing to these Terms and while applying or posting for a job through the Kaarmika Platform, Users undertake that all information shared will at all times be accurate and not be misleading. The User understands and acknowledges that any incorrect information or misrepresentations made by the User will affect the efficacy of the Kaarmika Platform and that Company shall have the right to suspend the User's account if it is found that the information shared by the User is false or misleading.
The functionalities of the Kaarmika Platform are provided on an "as-is" basis. Company does not guarantee continuous availability of these functionalities or any new or modified functionalities in the future. Company may change, suspend, or discontinue any aspect of the platform or any functionality at any time. Company may also, without notice or liability, impose limits on certain features and services or restrict access to all or portions of the platform.
Contractors registered on Kaarmika Platform are expected to maintain integrity, transparency, and professionalism in all service listings and interactions. Profiles and offers must accurately reflect the services being provided. Misrepresentation such as listing services in incorrect categories, falsifying service locations, using misleading titles or keywords, or including fraudulent information is strictly prohibited. Contractors must hold all legally required licenses, certifications, or authorizations relevant to their field, and ensure these credentials are valid and up to date. All services offered must be genuine, clearly described, and compliant with Company's policies.
To ensure a safe and trustworthy environment, Contractor must comply with all platform policies, including the Terms, code of conduct, and service guidelines. Contractor must avoid practices that compromise user experience or platform integrity, such as excessive postings, hidden service bundles, unauthorized payment methods, promotional gimmicks, or third-party endorsements. Contractors must treat Workers with professionalism and courtesy, and address any complaints or disputes through Company's support channels. Contractor is solely responsible for the quality, timeliness, and outcome of the services Workers provide. Company does not guarantee Contractor performance and is not liable for any resulting damages or disputes.
By accepting Company's terms, Contractors agree to the following:
Violations of these rules may lead to cancellation of listings, restriction or suspension of accounts, downgrade of feedback ratings, or legal action. Company reserves the right to blacklist Contractors, withhold outstanding payments, and block future registrations, if misconduct is detected. Contractors are encouraged to report any fraudulent activity, misleading behaviour, or policy violations to support@Kaarmika.com
Workers using Kaarmika Platform must act with honesty, professionalism, and legal compliance when accepting jobs. They are expected to accept only those assignments they intend to complete and meet the posted requirements. Misuse of platform features, false commitments, or attempts to disrupt job listings are strictly prohibited and may result in account suspension, blacklisting, or legal action. Workers must provide accurate registration and service-related details, maintain account confidentiality, and avoid sharing proprietary or sensitive information unless required by law. Company reserves the right to suspend or terminate accounts if false data is submitted or account integrity is compromised.
Workers must comply with all applicable local, state, and national laws, including any required licenses, permits, or registrations. Workers are solely responsible for maintaining any personal or professional insurance necessary for their services. All jobs must be performed with reasonable skill, care, and respect for community standards. Upon accepting a job, workers are entitled to receive full payment directly from the Contractor in their preferred mode. Company acts solely as a facilitator and is not liable for wage disputes, service-related claims, or data breaches. Violations of these terms may lead to cancellation of jobs, downgrade of feedback status, forfeiture of earnings, or legal action. Company is not responsible for service disruptions caused by force majeure events, during which obligations will be temporarily suspended.
The Kaarmika Platform and its contents are the intellectual property of Company and are protected by applicable intellectual property laws. The content on the Kaarmika Platform may not be copied or redistributed either in whole or in part without prior written consent of Company, except as expressly and specifically permitted under these Terms.
The Kaarmika Platform and its content are and will remain the exclusive property of Company. All rights, titles, and interests in and to the Kaarmika Platform will be and remain vested solely in Company. Under no circumstances will you have any right, directly or indirectly, to own, use, copy, loan, sell, rent, lease, license, sublicense, redistribute, assign or otherwise convey the contents, or any rights thereto, except as expressly and specifically provided in these Terms.
You acknowledge and agree that Company will own all rights, titles, and interests in and to any copy, translation, modification, adaptation, derivative work or improvement of the Kaarmika Platform and its content created on the basis of use of the Kaarmika Platform by you or for you. At Company's request, you must execute, or obtain the execution of, any instrument that may be necessary to assign these rights, titles, or interests to Company or perfect these rights, titles, or interests in Company's name.
The Kaarmika Platform may include links to websites, mobile applications, or content owned and operated by third parties. Such links are provided solely for convenience and informational purposes. Company does not control, endorse, or assume responsibility for the content, policies, or practices of any third-party websites or applications. Accessing such third-party platforms is at the User's own risk and subject to the terms and conditions of those platforms.
Any correspondence, transactions, or engagements between a User and third parties, including but not limited to payment processors, background verification providers, or other service vendors, are strictly between the User and the respective third party. Company shall not be liable for any loss, damage, or dispute arising from such interactions. Users are solely responsible for reviewing and complying with the applicable terms, policies, and conditions of any third-party service before engaging with it. Any questions, complaints, or claims related to third-party products or services must be directed to the respective provider.
The Kaarmika Platform may host content submitted by third parties, including job listings, candidate profiles, and promotional materials. While Company may moderate such content, it does not guarantee its accuracy, completeness, or reliability. Users acknowledge that reliance on third-party content is at their own discretion and risk, and Company disclaims all liability arising from such reliance.
Company may terminate the privileges of any user who uses the Kaarmika Platform to unlawfully infringe the rights of third parties. If you submit information to the Kaarmika Platform, you warrant that the information does not infringe the rights of third parties.
Company is committed to safeguarding the privacy of its users. This section outlines how personal data is collected, used, shared, and protected when you access or use the Kaarmika Platform. The Company does not facilitate, process, or participate in any payments between Users, including Contractors and Workers, for services rendered under their mutual engagement. Any payment obligations, compensation terms, or financial arrangements arising from work performed shall be solely governed by the agreement between the Contractor and the Worker. The Company shall not be a party to such agreements and assumes no responsibility or liability for any disputes, defaults, or claims related to such payments. The Company may charge fees to Contractors and/or Workers for access to certain features, tools, or services offered through the Kaarmika Platform.
All charges and fees on Company are inclusive of applicable taxes. Company acts solely as an intermediary between workers and hirers, and does not provide tax advice. Workers and hirers are individually responsible for understanding and fulfilling their own tax obligations, and Company bears no liability for any tax-related matters.
COMPANY MAKES NO WARRANTY OR REPRESENTATION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTY OF TITLE OR NON-INFRINGEMENT OR IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR OTHER VIOLATION OF RIGHTS IN RELATION TO THE AVAILABILITY, ACCURACY, VALIDITY, RELIABILITY OR CONTENT OF THE KAARMIKA PLATFORM AND/OR THE SERVICES APART FROM THOSE WHICH ARE SPECIFICALLY MENTIONED. COMPANY ALSO DOES NOT MAKE ANY REPRESENTATION OR WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF ANY ADVICE, OPINION, STATEMENT OR OTHER INFORMATION THAT IS SUBMITTED, DISPLAYED OR UPLOADED THROUGH THE KAARMIKA PLATFORM. COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, LOST PROFITS OR FOR BUSINESS INTERRUPTION ARISING OUT OF THE USE OF OR INABILITY TO USE THIS KAARMIKA PLATFORM, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE SERVICES AVAILED BY YOU COME WITH NO IMPLIED WARRANTY OTHER THAN THAT IS SPECIFICALLY STATED BY THE COMPANY IN THE TERMS. YOU AGREE AND ACKNOWLEDGE THAT THE COMPANY SHALL NOT BE RESPONSIBLE OR IN ANY MANNER LIABLE FOR ANY LOSSES, DAMAGES ETC. SUFFERED BY YOU FOR ANY DEFICIENCY IN KAARMIKA PLATFORM.
YOU ALSO AGREE AND UNDERSTAND THAT THE KAARMIKA PLATFORM DOES NOT MAKE ANY WARRANTIES REGARDING THE SERVICES OFFERED BY THE CONTRACTOR AND THE KAARMIKA PLATFORM SERVICES RELIES ON INFORMATION PROVIDED BY CONTRACTOR WHILE PROVIDING INFORMATION REGARDING THEIR SERVICES TO WORKER. IN NO CASE, SHALL THE COMPANY BE LIABLE TO WORKER FOR ANY DENIAL OF SERVICES OR ANY CHANGE IN THE TERMS AND CONDITIONS OF THE CONTRACTOR SERVICES BY THE CONTRACTOR.
You agree to indemnify and hold Company, its subsidiaries, affiliates, officers, agents, and employees harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Kaarmika Platform or your breach of these Terms.
You understand and agree that in Company's sole discretion, and without prior notice, Company may terminate your access to the Kaarmika Platform or exercise any other remedy available if Company believes that the information you provide has violated these Terms or the rights of Company or any third party. You agree that monetary damages may not provide a sufficient remedy and consent to injunctive or other equitable relief. Company may release User information if required by law or subpoena.
India is the country of domicile. Company controls the Kaarmika Platform from India and makes no representation that it is appropriate for use in other locations. You may not use, export, or re-export any materials from the Kaarmika Platform in violation of any applicable laws or regulations, including Indian laws.
In case of any dispute arising from the use of Company Services or interpretation of these Terms, parties shall first attempt to resolve the matter amicably within 30 days of written notice. If unresolved, the dispute shall be referred to arbitration under the Rules of the Mumbai Centre for International Arbitration (MCIA), with a sole arbitrator appointed. The seat of arbitration will be Pune, Maharashtra, conducted in English, and governed by Indian law.
Parties may also seek interim or permanent injunctive relief from competent courts in Pune without waiving their right to arbitration. The arbitral award shall be final and binding on all parties.
The laws of India shall govern the use of the Kaarmika Platform and these Terms, without regard to conflict of laws principles. All disputes shall be subject to the jurisdiction of courts in Pune, India.
